This Agreement, together with ClipKoi's Terms of Service ("Terms") available at https://clipkoi.com/terms, constitutes the complete and binding agreement between the parties for the services described herein.
The Client confirms that they have read, understood, and agreed to ClipKoi's Terms of Service in full. In the event of any conflict between this Agreement and the Terms, the Terms shall prevail unless expressly stated otherwise herein.

- Non-English content without separate written agreement

These fees apply when ClipKoi must regenerate content beyond the original brief or included revision rounds. All Generation Fees are communicated in writing before work commences and require the Client's written approval.

Voiceover regeneration (client change): $50 / regen
Full video re-creation (new brief): $150 – $300
Rush regeneration (under 24 hours): $200 flat + rate
Extra template customization: $100 / template
Additional AI script (over quota): $30 / script
F3. RUSH DELIVERY SURCHARGE
Rush delivery (2–3 Business Days): 50% surcharge on standard per-video rate. Rush fee payable before work commences.
F4. LATE PAYMENT FEE SCHEDULE
1–3 days past due: Reminder — no additional fee
4–7 days past due: Work paused — $25 admin fee
8–14 days past due: Service suspended — 5% of invoice
15–30 days past due: Default — 10% of invoice
30+ days past due: Recovery proceedings — 15% + costs

G1. REVISION POLICY
Each video includes 2 revision rounds.
Round 1 feedback: within 5 Business Days.
Round 2 feedback: within 3 Business Days of
Round 1 re-delivery. After 2 rounds the video
is final. Additional revisions incur fees.
G2. GENERATION FEES
Fees apply for content regenerated beyond the original brief or included revision rounds. All fees communicated in writing before work.
G3. PREPAYMENT TERMS
All services prepaid monthly in advance. Late payments result in work suspension and escalating fees.
G4. NON-REFUNDABLE PAYMENTS
All payments are non-refundable due to the custom nature of AI video production.
G5. CANCELLATION & EARLY TERMINATION FEE
Written notice required (30 or 60 days). Early cancellation incurs a 50% ETF on remaining contract value.
G6. AI CONTENT LIMITATIONS
I accept the inherent limitations of AI video production and agree they are not grounds for refund or dispute. _______
G7. AI B-ROLL & PROPERTY REPRESENTATION
AI b-roll is mood-only. It must NEVER be used to misrepresent a property's actual condition, size, features, or location.
G8. ADVERTISING & REGULATORY COMPLIANCE
I am solely responsible for compliance with real estate advertising laws, platform terms, AI disclosure rules, and all other applicable regulations before publishing any Deliverable.
G9. INTELLECTUAL PROPERTY
ClipKoi's templates, training, and frameworks remain ClipKoi's exclusive IP. My licence is personal, non-commercial, and subscription-only.
G10. DATA CONSENT
I consent to ClipKoi processing my business information and lead data in accordance with Singapore's PDPA and ClipKoi's Privacy Policy.
G11. RESULTS DISCLAIMER
ClipKoi does not guarantee any specific results, lead volumes, or revenue outcomes.
G12. GOVERNING LAW
This Agreement is governed by Singapore law. Singapore courts have exclusive jurisdiction.

PART I — CANCELLATION REFERENCE SUMMARY

Refund policy:
All payments non-refundable. Exceptions only if ClipKoi fails to deliver any Deliverables within 30 days of payment with no communication, or in genuine force majeure situations.

This Agreement is governed by the laws of Singapore. Singapore courts have exclusive jurisdiction. Both parties
must attempt mediation before commencing legal proceedings.
ClipKoi's total liability is limited to fees paid in the 3 calendar months preceding any claim. ClipKoi is not liable for indirect, consequential, or loss of business damages.
It is strongly recommended that both parties seek independent legal advice before signing.
