IMPORTANT — PLEASE READ CAREFULLY

These Terms of Service ("Terms") form a legally binding agreement between you ("Client", "You") and ClipKoi, operated by Teddy Wu ("ClipKoi", "We", "Us", "Our").

By signing a Service Agreement, submitting payment, or accessing ClipKoi's services, training portal, or deliverables in any form, you confirm that you have read, understood, and agreed to be bound by these Terms in full.

If you do not agree to these Terms, do not engage ClipKoi's services, access the training portal, or use any deliverable.

These Terms apply to all clients globally, including clients in the United States, Canada, Australia, Singapore, and Southeast Asia.

01. DEFINITIONS

In these Terms, the following words have the meanings set out below:

"Agreement" means these Terms of Service together with any Service Order, Scope of Work document, or proposal signed or accepted by the Client.

"AI Content" means any video, audio, image, script, caption, or other output generated using artificial intelligence tools, including but not limited to ElevenLabs, Runway, Pika Labs, CapCut, and other platforms used by ClipKoi.

"AI Voiceover" means a synthesized human-sounding voice generated by artificial intelligence via ElevenLabs or equivalent platforms, not recorded by a real human person.

"AI-Generated B-Roll" means supplemental video footage created using AI tools from text prompts or reference images, used for mood and atmosphere purposes only.

"Brand Questionnaire" means the onboarding form submitted by the Client containing business information, brand preferences, property details, and other production inputs.

"Business Day" means Monday through Friday, excluding public holidays in Singapore.

"CapCut Template" means a pre-built video editing structure with defined timing, transitions, caption styles, and music, provided to the Client for their own video production use.

"Client" means the individual, business, real estate agent, or business coach who has engaged ClipKoi under these Terms.

"Deliverables" means all videos, templates, training materials, scripts, lead magnets, automations, and other outputs produced by ClipKoi for the Client under a Service Agreement.

"Generation Fee" means a charge applied when ClipKoi must regenerate AI content beyond the original brief or beyond the included revision rounds, as set out in Clause 7.

"GoHighLevel" or "GHL" means the third-party CRM and marketing automation platform used for lead capture, pipeline management, and email or SMS follow-up sequences.

"ManyChat" means the third-party Instagram and Facebook DM automation platform used to trigger automatic responses to keyword comments on the Client's social media posts.

"Service Month" means each calendar month for which the Client has prepaid the monthly retainer fee.

"Service Order" means the written or electronic confirmation of the specific tier, scope, and pricing agreed between ClipKoi and the Client.

"Training Portal" means ClipKoi's proprietary online video training library containing 5 modules covering video creation, editing, content strategy, hooks, and lead generation automation.

"Turnaround Time" means the number of Business Days from ClipKoi's receipt of all required Client materials to delivery of completed Deliverables to the Client.


02. SERVICES & SCOPE OF WORK

2.1 NATURE OF SERVICES

ClipKoi is an AI-powered video production agency providing services to real estate agents and business coaches. The Hybrid Model combines done-for-you video production with reusable templates and a proprietary training system.

2.2 SERVICES PROVIDED

Depending on the tier selected, ClipKoi's services include one or more of the following:

(a) Done-For-You Branding Videos: AI-produced monthly videos including voiceovers, captions, music, and client branding.

(b) Listing & Content Templates: Reusable CapCut template files allowing Clients to create videos independently using their own property photos and content.

(c) Training Portal Access: 5 proprietary video training modules covering video creation, hooks, editing, content strategy, and lead generation automation.

(d) Lead Generation Automation: ManyChat DM automation setup, lead magnet templates, and GoHighLevel CRM configuration where included in the selected tier.

(e) Strategy Calls: Monthly or bi-weekly video calls with ClipKoi for content strategy, performance review, and ongoing direction where included in the selected tier.

2.3 SERVICES NOT PROVIDED

The following are NOT included in ClipKoi's services unlessexplicitly specified in a written custom scope agreement:

(a) On-location filming, traditional videography, ordrone footage of any kind

(b) Paid social media advertising management, campaign setup, or advertising budget management

(c) Website development, hosting, or organic SEO services

(d) Guarantees of specific lead volumes, engagement metrics, follower growth, or business results

(e) Same-day or next-day video delivery (standard turnaround is 5–7 Business Days)

(f) Content production in languages other than English unless agreed in writing before work commences

(g) Unlimited revisions beyond the 2-round revision policy set out in Clause 6

(h) MLS photography, property appraisal, or any regulated real estate professional service

2.4 CHANGES TO SCOPE

Any request to expand, modify, or add to the agreed scope of work must be submitted in writing to ClipKoi. All scope changes are subject to additional fees and require written confirmation before work commences. ClipKoi is not obligated to begin additional work until a written change order has been agreed and any applicable fees have been paid.


03. SERVICE TIERS & PRICING

3.1 REAL ESTATE AGENT TIERS

BRANDING STARTER — $1,800 USD per month Minimum term: 3 months

Includes:

- 6 branded videos per month

- 3 listing video templates

- Training Portal access

- Content calendar

- Email support

- 30-minute onboarding call


BRANDING PRO — $2,800 USD per month Minimum term: 3 months

Includes all Starter features plus:

- 8 branded videos per month

- 5 listing video templates

- ManyChat DM automation setup

- 3 lead magnet templates

- Monthly 30-minute strategy call

- Priority email support


BRANDING DOMINATION — $4,500 USD per month Minimum term: 6 months

Includes all Pro features plus:

- 12 branded videos per month

- Unlimited listing templates

- 4 done-for-you listing videos per month

- GoHighLevel CRM setup and automation

- Bi-weekly 45-minute strategy calls

- Dedicated client Slack channel

3.2 BUSINESS COACH & CONSULTANT TIERS

AUTHORITY BUILDER — $3,500 USD per month Minimum term: 3 months

THOUGHT LEADER PRO — $5,500 USD per month Minimum term: 3 months

EMPIRE BUILDER — $8,500 USD per month Minimum term: 6 months

Full inclusions for business coach tiers are set out in the applicable Service Order.

3.3 PRICING CURRENCY & CHANGES

All prices are quoted in United States Dollars (USD) unless otherwise agreed in writing. ClipKoi reserves the right to amend pricing with 30 days' written notice to active Clients. Price changes take effect at the next renewal cycle following the notice period.

3.4 CUSTOM ENGAGEMENTS

Custom pricing is available for enterprise clients, agencies, multi-agent teams, or scope not covered by standard tiers. Custom engagements require a separate written agreement.


04. ONBOARDING & CLIENT OBLIGATIONS

4.1 ONBOARDING PROCESS

Upon payment of the first monthly retainer, ClipKoi will:

(a) Send a welcome email within 1 Business Day confirmingthe engagement and outlining next steps

(b) Provide the Brand Questionnaire within 2 Business Days

(c) Schedule a 30-minute onboarding call within 7 Business Days of receiving the completed questionnaire

4.2 CLIENT OBLIGATIONS

The Client agrees to:

(a) Complete and submit the Brand Questionnaire accurately and in full within 5 Business Days of receipt

(b) Provide all required brand assets (logo, headshot, property photos, or other requested materials) in the formats specified by ClipKoi within the agreed timeline

(c) Review and provide feedback on deliverables within the timeframes specified in Clause 6 (Revision Policy)

(d) Ensure all information provided to ClipKoi, including property details, agent credentials, pricing, and brokerage information, is accurate and up to date

(e) Comply with all applicable laws, real estate board regulations, and platform terms of service when publishing any ClipKoi deliverable

(f) Maintain active social media accounts on platforms for which automation services are configured

4.3 DELAYED DELIVERY DUE TO CLIENT

If the Client fails to provide required materials, complete the Brand Questionnaire, or respond to ClipKoi communications within the agreed timelines, delivery dates will be adjusted accordingly. ClipKoi accepts no liability for delayed delivery caused by the Client's failure to provide inputs on time. Monthly fees continue to accrue regardless of production delays caused by the Client.


05. DELIVERY & TURNAROUND TIMES

5.1 STANDARD TURNAROUND

Standard turnaround time is 5–7 Business Days from ClipKoi's receipt of ALL required Client materials for a given production cycle. Turnaround begins only when ClipKoi has received the completed Brand Questionnaire and all required brand assets and property materials in full.

5.2 RUSH DELIVERY

Rush delivery of 2–3 Business Days is available subject to capacity and carries a surcharge of 50% of the standard per-video rate. Rush fees must be paid in full before rush work commences.

5.3 MONTH 1 DELIVERY SCHEDULE

Month 1 includes additional setup work including the Brand Questionnaire review, onboarding call, template creation, and training portal access configuration. Month 1 deliverables may be delivered in stages across the first 3–4 weeks of the engagement.

5.4 FORCE MAJEURE & THIRD-PARTY OUTAGES

ClipKoi is not liable for delays caused by circumstances beyond its reasonable control, including but not limited to: service outages of third-party platforms (ElevenLabs, Runway, CapCut, ManyChat, GoHighLevel), natural disasters, government actions, internet infrastructure failures, or other force majeure events. In such circumstances, ClipKoi will use alternative tools of comparable quality and will communicate revised timelines to the Client as soon as reasonably practicable.


06. REVISION POLICY

6.1 INCLUDED REVISIONS

Every video deliverable produced by ClipKoi includes 2 (two) rounds of revisions per video at no additional cost, subject to the conditions in this Clause.

6.2 REVISION ROUND 1

The Client must review the delivered video and submit consolidated written feedback via email or the client portal within 5 Business Days of delivery. All Round 1 feedback must be submitted at once in a single communication. Piecemeal or sequential feedback submissions may be treated as separate revision rounds.

6.3 REVISION ROUND 2

After Round 1 revisions are applied and re-delivered, the Client may submit one final round of consolidated written feedback within 3 Business Days of the Round 1 re-delivery.

6.4 FINAL ACCEPTANCE

After 2 revision rounds have been completed, the video is deemed final and accepted by the Client. No further revisions are included at no cost. Any further changes are subject to Generation Fees as set out in Clause 7.

6.5 LATE FEEDBACK

Feedback submitted after the timeframes specified in Clauses 6.2 and 6.3 may, at ClipKoi's discretion, be treated as a new revision round and subject to Generation Fees, or may be deferred to the following production cycle.

6.6 VALID REVISIONS

The following are accepted as valid revisions within the included 2 rounds:

(a) Corrections to text errors, names, prices, addresses, agent credentials, or other factual inaccuracies

(b) Adjustments to caption timing or caption style within the same CapCut template

(c) Replacement of specific images with alternative images provided by the Client

(d) Minor adjustments to voiceover sections

(e) Minor pacing, music volume, or colour corrections

6.7 MATTERS NOT COVERED AS FREE REVISIONS

The following are NOT covered within the included 2 rounds and are subject to Generation Fees under Clause 7:

(a) Complete script rewrites or conceptual changes after production has commenced

(b) Re-editing the video using a different template, format, or visual concept

(c) Additions of new content, scenes, or elements not included in the original brief

(d) Changes requested after the video has been published publicly on any platform

(e) Changes arising from incorrect information provided by the Client during onboarding

6.8 REVISION SCOPE LIMITATION

Revisions are strictly limited to the original scope and brief as agreed during onboarding. Requests to change the concept, script direction, music genre, video format, or overall creative direction after production has commenced may be classified as a new project at ClipKoi's discretion and will be subject to separate Generation Fees or a new scope agreement.


07. GENERATION FEE POLICY

7.1 DEFINITION

The Generation Fee is a charge applied when ClipKoi is required to regenerate AI content — including voiceover, b-roll footage, script, or a full video — for reasons outside the original agreed brief or beyond the 2 included revision rounds.

7.2 GENERATION FEE SCHEDULE

Additional revision beyond Round 2: $75 USD per revision round per video

Voiceover regeneration due to client-side script change: $50 USD per regeneration

Full video re-creation (new brief, concept, or format): $150–$300 USD per video, depending on complexity

Rush regeneration (delivery under 24 hours): $200 USD flat fee plus the applicable standard rate

Template customization beyond the 5 included: $100 USD per additional template

AI script generation outside the monthly quota: $30 USD per additional script

7.3 APPROVAL REQUIRED

Generation Fees will always be communicated to the Client in writing before any additional work commences. ClipKoi will provide a written estimate of the applicable fee and will not begin the additional work until the Client has provided written approval and, where required, advance payment.

7.4 INCORRECT CLIENT INFORMATION

If a video must be remade or regenerated because the Client provided incorrect information during onboarding — including but not limited to incorrect property price, address, agent name, brokerage name, phone number, or website — the remake is subject to Generation Fees at the rates in Clause 7.2.

If an error in Client-provided information is discovered before production commences, the Client must notify ClipKoi immediately at support @ clipkoi.com and no fee will apply. Once production has commenced, Generation Fees apply.

7.5 COMPUTATIONAL COST ACKNOWLEDGEMENT

The Client acknowledges that AI Generation Fees reflect genuine computational costs incurred by ClipKoi, including API usage credits, processing time, and editorial review hours. These fees are not penalties but reasonable cost recovery charges.


08. PAYMENT TERMS

8.1 PREPAYMENT REQUIREMENT

All ClipKoi services are prepaid monthly in advance. The monthly retainer fee is due and payable in full on the first Business Day of each Service Month. Work for a given Service Month will not commence until payment has been received and cleared.

8.2 PAYMENT DUE DATES

Monthly retainer fee: Due on the 1st Business Day of each Service Month, 100% payable in advance.

Generation Fees: Due within 7 calendar days of the invoice date

Rush delivery fee: Due in full before rush work commences.

Onboarding fee (if applicable): Due in full before any onboarding work commences.

8.3 ACCEPTED PAYMENT METHODS

- Wise transfer

- Credit card or debit card via Stripe

- PayPal

- Bank transfer (USD, AUD, CAD, SGD)

All prices are in United States Dollars (USD) unless otherwise agreed in writing. Bank transfer fees, currency conversion fees, and any applicable transaction charges are the sole responsibility of the Client.

8.4 INVOICING

ClipKoi will issue an invoice for each monthly retainer and for any applicable Generation Fees, rush fees, or other charges. Invoices are sent electronically to the email address provided during onboarding.

8.5 DISPUTED INVOICES

If the Client disputes an invoice, the Client must notify ClipKoi in writing at billing@clipkoi.com within 5 Business Days of receipt of the invoice, specifying the amount disputed and the reasons for the dispute. Undisputed portions of any invoice remain due on the original due date.

09. LATE PAYMENT FEES & CONSEQUENCES

9.1 LATE PAYMENT SCHEDULE

If payment is not received by the due date, the following applies:

1–3 CALENDAR DAYS PAST DUE

Action: Reminder email sent to the Client

Fee: No additional fee

4–7 CALENDAR DAYS PAST DUE

Action: All production work paused; second notice sent

Fee: $25 USD administration fee added to the outstanding balance

8–14 CALENDAR DAYS PAST DUE

Action: Service fully suspended; final notice sent

Fee: 5% of the outstanding invoice value added to the outstanding balanc

15–30 CALENDAR DAYS PAST DUE

Action: Contract default declared; all usage rights suspended immediately; Client notified

Fee: 10% of the outstanding invoice value added to the outstanding balance

30+ CALENDAR DAYS PAST DUE

Action: Debt recovery proceedings may be initiated; the account referred to a collections agency or legal counsel at ClipKoi's discretion

Fee: 15% of the outstanding invoice value plus all costs of recovery including legal fees

9.2 SERVICES SUSPENDED DURING NON-PAYMENT

During any suspension period arising from non-payment, all of the following are immediately suspended until the outstanding balance and applicable fees are paid in full:

(a) Training Portal access

(b) Access to all CapCut templates

(c) ManyChat automation (automations may be deactivated)

(d) GoHighLevel CRM access configured by ClipKoi

(e) All new video production and delivery

(f) Strategy calls and support communications

9.3 REINSTATEMENT

Service may be reinstated within 30 calendar days of suspension upon full payment of the outstanding balance plus all applicable late fees and administration charges. After 30 calendar days, ClipKoi may terminate the Agreement at its discretion without further notice.

9.4 USAGE RIGHTS DURING NON-PAYMENT

The Client's licence to use previously delivered Deliverables (as set out in Clause 13) is suspended during the period of non-payment and is reinstated upon full settlement of the outstanding balance. ClipKoi reserves the right to request removal of published

Deliverables during extended non-payment periods.


10. CANCELLATION & EARLY TERMINATION

10.1 NOTICE PERIOD

The Client may cancel this Agreement by providing written notice to ClipKoi at support clipkoi.com as follows:

Branding Starter and Branding Pro tiers: 30 calendar days written notice required

Branding Domination tier: 60 calendar days written notice required

Business Coach tiers (all): 30 calendar days written notice required for Authority

Builder and Thought Leader Pro; 60 calendar days for Empire Builder

Notice periods begin on the date ClipKoi acknowledges receipt of the written cancellation request.

10.2 EARLY TERMINATION FEE

If the Client cancels this Agreement before the expiry of the minimum commitment period specified in Clause 3, an Early Termination Fee ("ETF") applies equal to 50% of the total fees that would have been payable for the remaining months of the minimum commitment period.

Example:

A Client on the Branding Pro tier ($2,800/month, 3-month minimum) who cancels after 1 month has 2 months remaining. The ETF is 50% of $5,600 = $2,800.

The ETF is due and payable within 14 calendar days of the date of the cancellation notice.

10.3 TERMINATION BY CLIPKOI

ClipKoi reserves the right to terminate this Agreement with immediate effect by written notice in the following circumstances:

(a) The Client fails to make payment within 30 calendar days of the due date

(b) The Client materially breaches these Terms and fails to remedy the breach within 7 Business Days of written notice from ClipKoi

(c) The Client uses ClipKoi's Deliverables, templates, or training materials in a manner that violates applicable law, real estate regulations, platform terms of service, or these Terms

(d) The Client engages in conduct that is abusive, threatening, or otherwise inappropriate toward ClipKoi's team members

10.4 EFFECT OF TERMINATION

Upon termination or expiry of the Agreement:

(a) The Client's access to the Training Portal, templates, and automations ceases within 30 calendar days of the termination date

(b) All Deliverables for which payment has been received in full remain licensed to the Client on the terms set out in Clause 13

(c) Deliverables for which payment has not been received in full remain the property of ClipKoi and must not be used by the Client

(d) All outstanding fees, ETF amounts, and Generation Fees become immediately due and payable


11. REFUND POLICY

11.1 NON-REFUNDABLE PAYMENTS

All payments made to ClipKoi are non-refundable.

Due to the custom, time-intensive, and resource-specific nature of AI video production, no refunds are issued for completed work, in-progress work, or service months in which work has commenced, regardless of the circumstances.

11.2 LIMITED EXCEPTIONS

Refunds may be considered on a case-by-case basis solely in the following exceptional circumstances:

(a) ClipKoi fails to deliver any Deliverables to the Client within 30 calendar days of the payment date and has provided no communication, updates, or reason for the delay; or

(b) A force majeure event renders performance of the Agreement technically impossible and no reasonable alternative delivery method is available.

11.3 SERVICE CREDIT ALTERNATIVE

Where a refund exception may apply, ClipKoi reserves the right to offer service credits, additional deliverables, or an extended engagement period as an alternative remedy to a monetary refund. The Client will be consulted before any remedy is applied.

11.4 DISPUTE PROCESS

If the Client believes a refund may be warranted, the Client must contact ClipKoi in writing at

support @ clipkoi.com within 7 calendar days of the event giving rise to the claim. ClipKoi will acknowledge the complaint within 2 Business Days and will work toward resolution within 14 Business Days.


12. INTELLECTUAL PROPERTY

12.1 CLIPKOI INTELLECTUAL PROPERTY

All intellectual property created by or belonging to ClipKoi, including but not limited to:

(a) The ClipKoi name, logo, and brand identity

(b) All CapCut templates and video editing structures

(c) All training modules, video scripts, and frameworks

(d) All written content, guides, checklists, and supporting documents in the Training Portal

(e) The Hybrid Model system and methodology

(f) All proprietary workflows, processes, and systems

...remains the exclusive intellectual property of ClipKoi.com and Teddy Wu at all times, before, during, and after the engagement.


12.2 AI-GENERATED CONTENT

The copyright status of AI-generated content is an evolving area of law globally. ClipKoi's videos involve significant human creative direction including scripting, editing, brand strategy, asset curation, and quality review, which ClipKoi believes supports a reasonable copyright claim on the final Deliverables. However, ClipKoi makes no legal guarantee regarding the copyright status of individual AI-generated components (including AI voiceover models or AI-generated b-roll footage).

The Client is advised to seek independent legal advice from an IP attorney in their jurisdiction if copyright protection of video content is commercially important.

12.3 CLIENT MATERIALS

All brand assets, property photos, headshots, logos, and other materials provided to ClipKoi by the Client remain the property of the Client or the respective rights holders. The Client warrants that it has the right to provide such materials to ClipKoi for use in the production of Deliverables and indemnifies ClipKoi against any third-party claims arising from the use of Client-provided materials.


13. LICENCE TO USE DELIVERABLES

13.1 GRANT OF LICENCE

Upon receipt of full payment for the relevant Service Month, ClipKoi grants the Client a perpetual, non-exclusive, non-transferable, worldwide licence to use the Deliverables produced in that Service Month for commercial marketing purposes directly related to the Client's own real estate or coaching business.

13.2 PERMITTED USES

The Client may:

(a) Publish the Deliverables on the Client's own social media accounts including Instagram, TikTok, YouTube, Facebook, and LinkedIn

(b) Embed the Deliverables on the Client's own website

(c) Use the Deliverables in the Client's own email marketing campaigns

(d) Share the Deliverables directly with the Client's own clients, prospects, and leads

(e) Repurpose clips from the Deliverables within the Client's own brand context and marketing materials

13.3 PROHIBITED USES OF DELIVERABLES

The Client may NOT:

(a) Sell, resell, sub-licence, or commercially distribute the raw Deliverable files to any third party

(b) Claim full copyright ownership of AI-generated components within the Deliverables, including AI voiceover models or AI-generated footage

(c) Use ClipKoi templates or Deliverables to produce videos for competitors, other agents, or third parties without a separate written agency agreement with ClipKoi

(d) Remove, alter, or obscure any ClipKoi watermark, logo, or attribution during any trial, sample, or complimentary video phase

(e) Use the Deliverables in connection with any illegal activity, misleading advertising, or content that violates applicable law

13.4 SUSPENSION OF LICENCE

The licence granted under Clause 13.1 is automatically suspended during any period of non-payment as described in Clause 9 and is reinstated upon full payment of all outstanding amounts. ClipKoi may request removal of published Deliverables during suspension periods exceeding 15 calendar days.


14. LICENCE TO USE CLIPKOI TEMPLATES & TRAINING

14.1 LIMITED PERSONAL-USE LICENCE

ClipKoi grants the Client a limited, revocable, non-exclusive, personal-use licence to access and use the Training Portal, CapCut templates, scripts, and supporting materials provided as part of the Client's selected tier.

14.2 CONDITIONS OF THE LICENCE

This licence is subject to the following conditions:

PERSONAL USE ONLY

The licence is granted solely to the named Client. It is not transferable to employees, contractors, business partners, or any third party without ClipKoi's prior written consent.

NON-COMMERCIAL RESALE PROHIBITED

The Client may not sell, re-package, license, publish, or otherwise commercially exploit ClipKoi's templates, training materials, frameworks, scripts, or methodologies as their own products, courses, masterclasses, or consulting offerings.

ACTIVE SUBSCRIPTION REQUIRED

Access to the Training Portal and templates is valid only during the Client's active paid subscription. Upon cancellation or termination of the Agreement access is revoked within 30 calendar days.

14.3 IP INFRINGEMENT

Reproducing, distributing, publishing, or publicly sharing ClipKoi's training content, scripts, frameworks, templates, or proprietary systems without prior written permission from ClipKoi constitutes intellectual property infringement. ClipKoi reserves the right to seek injunctive relief and damages for any such infringement.

14.4 PORTFOLIO USAGE BY CLIPKOI

By engaging ClipKoi, the Client grants ClipKoi a non-exclusive, royalty-free licence to:

(a) Feature the Client's Deliverables in ClipKoi's portfolio and marketing materials (with or without identifying the Client's name or business)

(b) Reference the Client's results in case studies, testimonials, and promotional content

(c) Use anonymised or aggregated performance data from the Client's engagement

ClipKoi will always notify the Client before publishing identifiable client information. To opt out of all portfolio usage, the Client must email support @ clipkoi.com within 14 calendar days of first delivery.


15. CONFIDENTIALITY & DATA PROTECTION

15.1 CONFIDENTIAL INFORMATION

Each party agrees to keep confidential all non-public information received from the other party in connection with this Agreement, including but not limited to business strategies, pricing, client data, and proprietary systems.

15.2 DATA COLLECTED

ClipKoi collects and processes the following Client data:

(a) Business information: name, brokerage, location, contact details, and social media handles

(b) Brand assets: headshots, logos, and property photos submitted for video production

(c) Questionnaire responses: target audience, business goals, and brand style preferences

(d) Payment information: processed via Stripe or PayPal. Raw credit card numbers are never stored by ClipKoi at any time.

(e) Lead data (Domination tier only): names, emails, and phone numbers captured through GoHighLevel or ManyChat integrations

15.3 DATA STORAGE PLATFORMS

- Google Workspace (encrypted cloud storage)

- GoHighLevel (SOC 2 Type II compliant)

- Stripe (PCI-DSS Level 1 compliant)

15.4 CONFIDENTIALITY OF CLIENT DATA

ClipKoi will NOT sell, share, transfer, or disclose Client data, lead databases, or property information to any third party for any purpose. Specifically:

(a) Listing details and client contacts will not be shared with other agents, brokers, or clients

(b) The Client's ManyChat or GoHighLevel lead database is the Client's exclusive asset and will only be accessed by ClipKoi for setup and optimization

(c) All ClipKoi team members and contractors arerequired to sign Non-Disclosure Agreements prohibiting unauthorised access to client data

(d) Property photos and brand assets submitted to ClipKoi will be deleted from internal systems within 90 calendar days of project completion

15.5 THIRD-PARTY AI TOOL DATA

The Client acknowledges that some content (including scripts and property descriptions) is processed through third-party AI platforms to generate Deliverables. These platforms include:

- ElevenLabs (text submitted for voiceover generation; commercial tier — not used to train AI models)

- Runway and Pika Labs (images for b-roll generation)

- ManyChat (lead contact data processing)

ClipKoi advises Clients not to submit sensitive personal data through any AI tool, including financial records, passport details, or government identity numbers.

15.6 APPLICABLE PRIVACY LAWS

ClipKoi complies with:

(a) Singapore Personal Data Protection Act 2012 (PDPA)

(b) General Data Protection Regulation (GDPR) principles for EU and UK clients

(c) Australian Privacy Act 1988 and the Australian

Privacy Principles for Australian clients

(d) Applicable US state privacy laws as required

15.7 DATA BREACH NOTIFICATION

In the event of a data breach that may affect the Client's personal data, ClipKoi will notify the Client as soon as reasonably practicable and in accordance with applicable data protection laws.


16. THIRD-PARTY TOOLS & PLATFORMS

16.1 THIRD-PARTY DEPENDENCY

ClipKoi's services depend on third-party platforms including ElevenLabs, Runway, Pika Labs, CapCut, ManyChat, GoHighLevel, Google Workspace, Stripe, and Instagram and Facebook APIs. ClipKoi does not own or control these platforms and is not responsible for their availability, pricing changes, feature changes, or terms of service.

16.2 THIRD-PARTY TERMS

The Client may be required to independently agree to the terms of service of certain third-party platforms as part of receiving ClipKoi's services, including but not limited to ElevenLabs' Terms of Service and ManyChat's Terms of Service. ClipKoi is not a party to and accepts no responsibility for the Client's agreements with third-party platforms.

16.3 ONGOING THIRD-PARTY COSTS

Certain third-party platforms require ongoing subscription fees paid directly by the Client, including:

- ManyChat: approximately $15 USD per month for Pro plan (required for automation functionality)

- GoHighLevel: fees applicable to Domination tier clients as advised during onboarding

These costs are in addition to ClipKoi's monthly retainer and are the Client's sole responsibility.

16.4 PLATFORM OUTAGES

ClipKoi accepts no liability for delays, service interruptions, or changes to Deliverables arising from outages, updates, or policy changes by third-party platforms. Where a key platform is unavailable, ClipKoi will use an alternative of comparable quality and will communicate any impact on timelines to the Client.


17. AI CONTENT — TECHNICAL LIMITATIONS & DISCLAIMERS

17.1 ACKNOWLEDGEMENT OF AI LIMITATIONS

The Client acknowledges and accepts the following inherent limitations of AI-generated content before engaging ClipKoi's services:

(a) Voice Naturalness: AI voiceovers may contain minor unnatural pauses or may mispronounce uncommon words, street names, or local suburb names. ClipKoi will attempt corrections within the revision rounds but perfect naturalness cannot be guaranteed.

(b) B-Roll Visual Accuracy: AI-generated footage may not precisely replicate real-world objects, properties, or environments. AI b-roll is used for mood and atmosphere purposes only and is not accurate property representation.

(c) Platform Algorithm Changes: Videos are optimised based on current social media algorithm knowledge. Platform algorithms change frequently and without notice. ClipKoi does not guarantee consistent reach, engagement, or algorithmic performance.

(d) AI Model Evolution: AI tools update and change over time. Videos produced in different months may have slightly different visual styles due to AI model updates. Style-lock agreements are available for long-term engagements on written request.

(e) Content Accuracy: AI scripts are produced based on information provided by the Client. ClipKoi is not responsible for factual inaccuracies arising from incorrect or incomplete information provided during onboarding.

17.2 LIMITATION ON GROUNDS FOR DISPUTE

The Client agrees that the limitations described in Clause 17.1 are inherent to AI production technology and do not constitute defects, service failures, or grounds for refund, dispute, or early termination.

17.3 MUSIC LICENSING

All background music provided by ClipKoi is licensed for commercial use through CapCut's licensed music library or Epidemic Sound. ClipKoi is not responsible for platform detection systems incorrectly flagging licensed music. In the event of such an occurrence, ClipKoi will provide substitute licensed music on request.

17.4 AI DISCLOSURE OBLIGATIONS

Certain jurisdictions, regulators, and social media platforms are introducing requirements to label or disclose AI-generated content. The Client is solely responsible for understanding and complying with all applicable AI content disclosure requirements in their jurisdiction and on any platform on which Deliverables are published.


18. VISUAL REALISM & ADVERTISING COMPLIANCE

18.1 NATURE OF AI-ASSISTED VIDEOS

The Client acknowledges that ClipKoi's AI-assisted videos differ from traditionally filmed real estate content in the following material ways:

- Property photos used are the Client's own actual photos. No AI modification or enhancement is applied to Client-provided property photography.

- Voiceovers are AI-synthesized and not recorded by a real human being.

- B-roll footage is AI-generated and is used solely for mood and production quality. It does not represent the actual appearance of the property featured in the video.

- Property walkthroughs are photo slideshows with transitions, not video walkthroughs of the property.

- Agent on-camera presence is limited to end cards and headshot photography, not live on-camera filming.

18.2 PROHIBITION ON PROPERTY MISREPRESENTATION

The Client must NOT use AI-generated b-roll, rendered visuals, or any component of ClipKoi Deliverables to misrepresent a property's actual condition, size, features, location, or any material characteristic. Such use may constitute misleading advertising and violate applicable real estate advertising laws.

18.3 MLS & REGULATED ADVERTISING

ClipKoi Deliverables are designed and approved for social media marketing purposes only. They are NOT designed for, and must NOT be used in connection with:

(a) MLS (Multiple Listing Service) property submissions

(b) Legal property disclosure documents

(c) Regulated real estate advertising materials where accurate property representation is legally required

18.4 REAL ESTATE ADVERTISING COMPLIANCE

The Client is solely responsible for compliance with all applicable real estate advertising laws and regulations in their jurisdiction, including but not limited to:

(a) Real estate licensing board advertising standards

(b) MLS advertising rules and guidelines

(c) Fair Housing Act requirements (USA)

(d) Real Estate and Business Brokers Act (Canada)

(e) Australian Consumer Law property advertising provisions

(f) Consumer Protection (Fair Trading) Act (Singapore)

(g) AI-generated content disclosure requirements

ClipKoi strongly recommends that the Client consult their brokerage compliance officer before publishing any AI-assisted marketing video.

18.5 BUSINESS COACH COMPLIANCE

Business coach and consultant Clients are solely responsible for compliance with:

(a) Income claim and earnings representation regulation as enforced by the FTC (USA), ASA (Australia/UK), and equivalent bodies in other jurisdictions

(b) Testimonial disclosure requirements, including the need to identify paid or incentivized testimonials and to distinguish typical from a typical client results

(c) Professional licensing requirements in any regulated field including financial services, legal services, and medical or health services

ClipKoi will not produce content containing unsubstantiated income claims, fabricated testimonials, or content that could constitute misleading advertising under any applicable law.


19. RESULTS DISCLAIMER

19.1 NO GUARANTEE OF RESULTS

ClipKoi does not guarantee any specific business results, lead volumes, engagement rates, follower growth, revenue increases, or return on investment from the use of its services or Deliverables.

19.2 NATURE OF CASE STUDIES & TESTIMONIALS

Any case studies, testimonials, performance figures, or examples of client results published on ClipKoi.com or in ClipKoi's marketing materials represent the results achieved by specific clients under their specific individual circumstances. They are provided for illustrative purposes only and are not a representation, warranty, or guarantee that the Client will achieve the same or similar results.

19.3 FACTORS OUTSIDE CLIPKOI'S CONTROL

Video marketing results depend significantly on factors outside ClipKoi's control, including but not limited to:

(a) The Client's consistency in posting content (clients who post 4 or more times per week demonstrably outperform those who post less)

(b) Local real estate market conditions and the level of competition in the Client's market

(c) The quality and timeliness of the Client's follow-up process with generated leads

(d) The effectiveness of the Client's sales process and conversion skills

(e) Social media platform algorithm changes affecting organic reach and content distribution

(f) Whether the Client invests in paid amplification or advertising in addition to organic content

19.4 CLIENT RESPONSIBILITY

ClipKoi's role is to provide the tools, templates, training, and strategy. The Client acknowledges that execution, effort, consistency, and sales skill are their own responsibility and are primary determinants of their results.


20. PROHIBITED USES

20.1 THE CLIENT MUST NOT USE CLIPKOI DELIVERABLES, TEMPLATES, OR TRAINING TO:

(a) Create, publish, or distribute content that is false, misleading, deceptive, or fraudulent

(b) Misrepresent a property's actual condition, size, location, features, or any material characteristics

(c) Impersonate any individual, business, or brand without proper authorisation

(d) Violate the terms of service of any social media platform, website, or digital service

(e) Create deepfake content, AI face-swaps, or AI clones of real individuals without their explicit written consent

(f) Produce content that infringes any third-party copyright, trademark, or intellectual property rights

(g) Produce content that is defamatory, harassing, threatening, obscene, or unlawful in any applicable jurisdiction

(h) Generate unsubstantiated income claims, fabricated testimonials, or deceptive marketing content

(i) Circumvent any platform's advertising policies, compliance requirements, or content moderation systems

20.2 ClipKoi reserves the right to immediately terminate the Agreement without refund if the Client uses Deliverables in violation of this Clause.


21. INDEMNIFICATION

21.1 The Client agrees to indemnify, defend, and hold harmless ClipKoi, its founder Teddy Wu, employees, contractors, and agents from and against any claims, demands, losses, damages, costs, and expenses (including reasonable legal fees) arising from:

(a) The Client's breach of these Terms

(b) The Client's use of Deliverables in violation of applicable law or platform terms of service

(c) Any claim that Client-provided materials (photos, logos, scripts, data) infringe third-party rights

(d) The Client's failure to comply with real estate advertising regulations, income claim regulations, or any other applicable law in their jurisdiction

(e) Any claim by a third party arising from the Client's publication or use of Deliverables


22. LIMITATION OF LIABILITY

22.1 MAXIMUM LIABILITY

To the maximum extent permitted by applicable law, ClipKoi's total cumulative liability to the Client for any and all claims arising from or related to this Agreement — whether in contract, tort (including negligence), or otherwise — is limited to the total fees paid by the Client to ClipKoi in the 3 (three) calendar months immediately preceding the event giving rise to the claim.

22.2 EXCLUSION OF CONSEQUENTIAL DAMAGES

To the maximum extent permitted by applicable law, ClipKoi is not liable for any:

(a) Loss of revenue, income, or profit

(b) Loss of business, clients, or contracts

(c) Loss of data or business information

(d) Loss of anticipated savings or opportunity

(e) Indirect, special, incidental, or consequentialdamages of any kind

...whether or not ClipKoi was advised of the possibilityof such loss.


22.3 ESSENTIAL TERMS

The Client acknowledges that the limitations in thisClause reflect a reasonable allocation of risk and are an essential basis of the pricing offered by ClipKoi.


23. GOVERNING LAW & DISPUTE RESOLUTION

23.1 GOVERNING LAW

These Terms and any Agreement between ClipKoi and the Client are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

23.2 JURISDICTION

The courts of Singapore have exclusive jurisdiction to settle any dispute arising from or in connection with these Terms or any Agreement, unless otherwise agreed in writing by both parties.

23.3 MANDATORY MEDIATION

Before commencing any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation and, if negotiation fails, through formal mediation administered by the Singapore Mediation Centre or such other mediation body as the parties may agree. Mediation must be attempted before either party may bring legal proceedings.

23.4 INTERNATIONAL CLIENTS

For Clients located outside Singapore:

(a) USA: ClipKoi complies with applicable mandatory federal and state consumer protection provisions.

(b) Canada: ClipKoi complies with applicable provincial consumer protection legislation where mandatory.

(c) Australia: ClipKoi complies with mandatory provisions of the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010).

Nothing in these Terms limits any mandatory rights the Client may have under the consumer protection laws of their jurisdiction that cannot be excluded by contract.


24. AMENDMENTS TO THESE TERMS

24.1 ClipKoi reserves the right to amend, update, or replace these Terms at any time. Amendments will be communicated to active Clients by written notice (email to the address on file) at least 30 calendar days before the amendments take effect.

24.2 Continued use of ClipKoi's services after the effective date of any amendment constitutes acceptance of the amended Terms.

24.3 If the Client does not agree to any amendment, the Client may cancel the Agreement by providing written notice before the amendment effective date, subject to the cancellation terms in Clause 10.

25. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions of these Terms will continue in full force and effect.


26. ENTIRE AGREEMENT

These Terms, together with the applicable Service Order and any written scope of work document agreed between the parties, constitute the entire agreement between ClipKoi and the Client with respect to the subject matter hereof. They supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written. No representation, warranty, or undertaking not set out in these Terms is binding on ClipKoi unless agreed in writing and signed by ClipKoi.

ACCEPTANCE

By signing a Service Agreement, submitting payment, or accessing ClipKoi's services or training portal, the Client confirms that they have read these Terms in full and agree to be bound by them.

These Terms take effect on the date the Client first engages ClipKoi's services, signs a Service Agreement, or submits payment — whichever occurs first.
